1. Eligibility

You must be at least 18 years old and have the authority to bind the business you represent. By using OnBox, you represent that you meet these requirements.

2. Our Services

OnBox provides physical advertising and fulfillment services through branded safety seals distributed via restaurants. We work with both restaurants (who distribute the seals) and advertisers (who run campaigns through them).

We reserve the right to modify, pause, or discontinue any part of our Services at any time without notice.

3. Accounts & Information

You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Restaurants: Free Seal Program

If you are a restaurant:

• OnBox provides free safety seals printed with OnBox or partner advertising.
• You agree to apply the seals to outgoing takeout or delivery orders as intended.
• You may not resell or misuse the seals.
• Any applicable revenue share will be defined in a separate agreement or communication.

5. Advertisers: Campaign Terms

If you are an advertiser:

• Campaign setup, targeting, and creative approval are required prior to launch.
• OnBox reserves the right to reject ad content that violates our standards, including but not limited to: hate speech, adult content, misinformation, or conflict with existing campaigns.
• Payment terms, distribution estimates, and campaign duration will be outlined in a separate agreement.

6. Prohibited Uses

You agree not to:

• Use our Services for any unlawful, deceptive, or harmful activity
• Interfere with or disrupt our systems or security
• Misrepresent your affiliation with OnBox or its partners
• Copy, scrape, or reverse-engineer any part of the OnBox platform

7. Intellectual Property

All content on the OnBox website and platform — including trademarks, branding, visuals, and software — is owned by OnBox, Inc. or its licensors. You may not reproduce, distribute, or use our content without our written permission.

8. Disclaimers

Our Services are provided "as is" and "as available." OnBox makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted or error-free service.

9. Limitation of Liability

To the fullest extent permitted by law, OnBox shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, profits, or data, arising out of your use of or inability to use our Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless OnBox and its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising out of your violation of these Terms or misuse of the Services.

11. Termination

We reserve the right to suspend or terminate your access to our Services at any time and for any reason, including violation of these Terms. Upon termination, all relevant provisions shall remain in effect.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from or related to these Terms or our Services shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
